Fhullbring Technologies LLC - Vendor Terms of Use

Welcome to the Fhullbring Technologies LLC marketplace ("Marketplace"). These Vendor Terms of Use ("Vendor Terms") govern your access to and use of our platform as a vendor ("Vendor", "you", "your"). By listing your products or services on our Marketplace, you agree to these Vendor Terms. Please read them carefully.

1. Vendor Registration and Account Management

1.1 Registration: To sell products or services on our Marketplace, you must complete the registration process, provide accurate and up-to-date information, and agree to these Vendor Terms.

1.2 Account Information: You are responsible for maintaining the accuracy of your account information. Failure to provide accurate information may result in the suspension or termination of your vendor account.

1.3 Account Security: You are responsible for safeguarding your account credentials. Any activity conducted through your account is your responsibility, and you agree to notify us immediately of any unauthorized use.

2. Listing Products and Services

2.1 Product and Service Descriptions: You must provide clear, accurate, and comprehensive descriptions of your products and services. Misleading or inaccurate descriptions may result in removal of the listing or suspension of your account.

2.2 Pricing and Inventory: You are responsible for setting your prices and ensuring that your inventory is accurately reflected on the Marketplace. You must update your listings promptly to reflect changes in availability.

2.3 Compliance: All products and services you offer must comply with applicable laws and regulations. It is your responsibility to ensure that your listings adhere to these requirements.

3. Customer Interaction and Communication

3.1 Professionalism: As a Vendor on our Marketplace, you agree to conduct yourself with the utmost professionalism in all interactions with customers. This includes providing courteous, respectful, and prompt responses to inquiries.

3.2 Response Time: You must respond to customer inquiries within 24 hours. Failure to do so may result in the suspension or termination of your account. Timely communication is crucial to maintaining customer trust and satisfaction.

3.3 Issue Resolution: You are responsible for resolving any customer issues related to your products or services. This includes handling returns, refunds, and exchanges in accordance with your own policies and applicable laws.

4.1 Order Processing: You must process and fulfill customer orders promptly. Delays in order processing may result in negative feedback and potential account suspension.

4.2 Shipping and Delivery: You are responsible for ensuring that products are shipped and delivered within the timeframes you specify in your listings. You must provide customers with tracking information and keep them informed of any delays.

4.3 Compliance with Shipping Policies: You must comply with all applicable shipping policies and ensure that your shipping practices align with the expectations set forth in your listings.

6. Content Guidelines

6.1 Prohibited Content: You may not list or sell any products or services that are illegal, offensive, or violate the intellectual property rights of others. We reserve the right to remove any listings that violate these guidelines.

6.2 Intellectual Property: You must have the legal right to sell the products or services you list on our Marketplace. By listing a product or service, you represent and warrant that you own or have the necessary licenses, rights, and permissions to offer and sell that product or service.

6.3 Marketplace Content: We reserve the right to review, edit, or remove any content you post on our Marketplace. This includes product descriptions, images, and other content associated with your listings.

7.1 Account Suspension: We may suspend or terminate your vendor account at any time if you violate these Vendor Terms, fail to comply with our policies, or engage in conduct that we determine to be harmful to the Marketplace or its users.

7.2 Consequences of Suspension: If your account is suspended, you will lose access to your vendor account and any associated features. You will not be entitled to a refund of any fees paid during the month of suspension.

7.3 Account Termination: In cases of severe or repeated violations, we may terminate your vendor account permanently. You will be notified of the termination and the reasons for it.

8. Dispute Resolution

8.1 Vendor-Customer Disputes: You are responsible for resolving any disputes that arise between you and your customers. Fhullbring Technologies LLC will not intervene in vendor-customer disputes, but we may offer guidance or support in accordance with our policies.

8.2 Disputes with Fhullbring Technologies LLC: Any disputes between you and Fhullbring Technologies LLC arising out of these Vendor Terms will be resolved through binding arbitration, as set forth in our Terms of Use.

9. Amendments and Updates

9.1 Changes to Vendor Terms: We may update these Vendor Terms from time to time. We will notify you of any material changes by updating the "Effective Date" at the top of this document or by other means as required by law.

9.2 Continued Use: Your continued use of the Marketplace after any changes to these Vendor Terms constitutes your acceptance of the updated terms.

10.1 Content Submission: By submitting any content to Fhullbring Technologies LLC through any means, including but not limited to images, videos, descriptions, and testimonials related to your products or services ("Content"), you grant the Platform a perpetual, non-exclusive, royalty-free, and irrevocable license to use, reproduce, modify, distribute, and display this Content across our social media channels, website, and other marketing materials.

10.2 Joint Ownership: The Platform and the Vendor will have joint ownership of any Content submitted. This means both parties can use the Content without restriction or the need for additional permissions from the other party. The Vendor’s rights to the Content remain intact; however, the Platform’s rights to use and share the Content also remain, even if the Vendor’s account is terminated or they cease to use the Platform.

10.3 Irrevocability: Once submitted, the Vendor cannot revoke the Platform’s rights to the Content, nor contest the Platform’s use of the Content, regardless of whether the Vendor continues to operate on the Platform or not.

If you believe that your intellectual property rights have been infringed, please send notice to the address below or fill out this form. We may delete or disable content that we believe violates these Terms or is alleged to be infringing and will terminate accounts of repeat infringers where appropriate.

Written claims concerning copyright infringement must include the following information:

  • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest

  • A description of the copyrighted work that you claim has been infringed upon

  • A description of where the allegedly infringing material is located on our site so we can find it

  • Your address, telephone number, and e-mail address

  • A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law

  • A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf

4. Order Fulfillment and Shipping
5. Payments and Fees

5.1 Payment Processing: Payments for your products or services will be processed through our third-party payment processors unless specified otherwise. You will receive payments in accordance with our payment schedule.

5.2 Fees: You agree to pay all applicable fees associated with your vendor account, including but not limited to listing fees, transaction fees, and subscription fees. All fees are non-refundable.

5.3 Account Suspension and Fees: If your account is suspended due to a violation of these Vendor Terms, you will not be entitled to a refund of any fees paid for that month.
